TC Health Care Tech Company Announces Merger

Traverse City company Versus Technology is being acquired by Midmark Corporation of Dayton, Ohio. Founded in 1988, Versus specializes in real-time locating systems for the health care industry. The technology is used by more than 800 hospitals for patient tracking, bed management, asset tracking and nurse call automation – all designed to make health care systems safer and more efficient. Midmark is a leading provider of medical, dental and veterinary equipment solutions, specializing in workflow solutions.

“We are very excited for the opportunity this collaboration will provide for our system integrators and end-user customers,” HT Snowday, president of Versus, said in a release about the merger. “Health care providers face difficult decisions every day relating to equipment, room design, staffing and workflow. Together, Versus and Midmark will be able to provide more specialized, data-driven solutions to health systems, strengthening our businesses while enhancing health care for all involved.”

The merger has been unanimously approved by the Versus board of directors and recommended to the Versus shareholders. A special meeting will be held April 29 for final approval. Assuming approval, the deal is expected to close by May 4. After closing, initial cash distributions will be approximately $0.35 per share.

Versus' core operations will remain in Traverse City.
